DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, OR ACCURACY. JAANUU DOES NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY INFORMATION PROVIDED THROUGH THE SITE OR SERVICES WILL BE ACCURATE, COMPLETE, OR CURRENT. NOTHING IN THESE TERMS DISCLAIMS OR LIMITS ANY WARRANTY, REMEDY, OR OTHER RIGHT RELATING TO PRODUCTS THAT CANNOT LAWFULLY BE DISCLAIMED OR LIMITED UNDER APPLICABLE LAW, INCLUDING ANY APPLICABLE STATUTORY OR EXPRESS WARRANTY.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JAANUU AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUBSIDIARIES, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, BUSINESS OPPORTUNITIES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR SERVICES, OR YOUR PURCHASE OR USE OF PRODUCTS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF JAANUU HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JAANUU’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE, SERVICES, PRODUCTS, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM OR (B) $500.
THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD, WILLFUL INJURY, OR OTHER CONDUCT FOR WHICH LIABILITY MAY NOT LAWFULLY BE LIMITED OR EXCLUDED.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES, SO SOME OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, JAANUU’S LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
ARBITRATION AGREEMENT
PLEASE READ THIS ARBITRATION AGREEMENT CAREFULLY. IT REQUIRES YOU AND JAANUU TO RESOLVE MOST DISPUTES THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT AND INCLUDES A WAIVER OF THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, EXCEPT AS OTHERWISE PROVIDED BELOW.
Agreement to Arbitrate
Except for disputes expressly excluded below, you and JAANUU agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, Services, Products, any transaction with JAANUU, or the relationship between you and JAANUU will be resolved by binding arbitration rather than in court.
For purposes of any dispute subject to this Arbitration Agreement, JAANUU’s officers, directors, employees, agents, affiliates, and independent contractors are intended third-party beneficiaries of this Arbitration Agreement and may enforce it to the extent a claim relates to their conduct on behalf of JAANUU.
Exceptions to Arbitration
Notwithstanding the foregoing:
1. either you or JAANUU may bring an individual action in small claims court if the claim qualifies for that court and remains within its jurisdiction;
2. either party may seek temporary or preliminary injunctive relief from a court of competent jurisdiction where necessary to preserve the status quo or prevent irreparable harm pending arbitration; and
3. nothing in this Arbitration Agreement waives or limits any right to seek public injunctive relief or any other remedy that cannot lawfully be waived or required to be arbitrated under applicable law.
Arbitration Rules and Procedure
The arbitration will be administered by JAMS before a single neutral arbitrator in accordance with the JAMS rules applicable to the dispute and in effect when the arbitration is commenced, as modified by this Arbitration Agreement.
If you are a consumer, the JAMS Consumer Arbitration Minimum Standards will apply to the extent applicable. The arbitration may be conducted remotely, by telephone, based on written submissions, or through an in-person hearing, as permitted by the applicable JAMS rules. If an in-person hearing is required in a consumer arbitration, the location will be determined in accordance with the applicable JAMS rules and Consumer Arbitration Minimum Standards.
For disputes that are not consumer disputes, unless the parties agree otherwise, any in-person arbitration hearing will take place in Los Angeles County, California.
The arbitrator may award any relief available to the individual party under applicable law that would be available in court, subject to the limitations set forth in these Terms to the extent those limitations
are enforceable. The arbitrator will issue a written decision sufficient to explain the essential findings and conclusions on which the award is based. Judgment on the arbitration award may be entered
in any court of competent jurisdiction.
Arbitration Fees
Payment of filing, administration, and arbitrator fees will be governed by the applicable JAMS rules and, for consumer disputes, the JAMS Consumer Arbitration Minimum Standards. JAANUU will pay any arbitration fees that it is required to pay under applicable law or JAMS rules. Nothing in this Arbitration Agreement requires a consumer to pay fees or costs that the consumer could not lawfully be required to pay.
Waiver of Jury Trial
YOU AND JAANUU WAIVE ANY CONSTITUTIONAL OR STATUTORY RIGHT TO HAVE A DISPUTE SUBJECT TO THIS ARBITRATION AGREEMENT DECIDED IN COURT BY A JUDGE OR JURY. Instead, such disputes will be decided by an arbitrator, subject to the exceptions stated in this Arbitration Agreement. Judicial review of an arbitration award is limited as provided by applicable law.
Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND JAANUU AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
Unless you and JAANUU agree otherwise, the arbitrator may not consolidate the claims of more than one person and may not preside over any form of class, collective, consolidated, or representative
proceeding. Nothing in this Class Action Waiver prohibits a party from seeking public injunctive relief to the extent the right to seek such relief cannot lawfully be waived.
Court Proceedings
If a dispute is not subject to arbitration under this Arbitration Agreement, or if a court proceeding is permitted under this Arbitration Agreement, any such judicial proceeding, other than a qualifying small claims action or a proceeding for which applicable law requires a different forum, will be brought exclusively in the state or federal courts located in Los Angeles County, California. You and JAANUU consent to the personal jurisdiction of those courts.
Severability
Except as otherwise provided in this paragraph, if any portion of this Arbitration Agreement is found to be invalid, illegal, or unenforceable, that portion will be severed and the remainder of the Arbitration Agreement will remain in full force and effect.
If the Class Action Waiver is found unenforceable with respect to a particular claim or request for relief, that claim or request for relief will proceed in a court of competent jurisdiction to the extent required by applicable law, and any remaining claims subject to arbitration will be arbitrated to the extent permitted by law.
Survival
This Arbitration Agreement will survive the termination of your relationship with JAANUU.
PRIVACY
Please review our Privacy Notice, which describes how we collect, use, and disclose personal information and the choices available to you.
GOVERNING LAW
These Terms and any dispute arising out of or relating to them are governed by the laws of the State of California, without regard to its conflict-of-laws principles, except that the Federal Arbitration Act
governs the interpretation and enforcement of the Arbitration Agreement.
SEVERABILITY; WAIVER; ASSIGNMENT
If any provision of these Terms is found invalid, illegal, or unenforceable, that provision will be modified or severed to the minimum extent necessary and the remaining provisions will remain in full force and effect. JAANUU’s failure to enforce any provision of these Terms is not a waiver of that provision or any other provision. You may not assign your rights or obligations under these Terms
without JAANUU’s prior written consent. JAANUU may assign these Terms in connection with a merger, reorganization, sale or transfer of assets, or by operation of law.
Additional Terms & Conditions for Businesses
By placing an order for JAANUU products on the JAANUU website or directly from JAANUU, you agree to be bound by the General Terms above and these Additional Terms and Conditions applicable to businesses (“Additional Terms”), in each case in effect when the applicable order is placed. Changes to these Additional Terms will be made in accordance with the “Changes to these Terms” provision in the General Terms. You may use your own form of purchase order to place product orders with JAANUU, but no terms or conditions appearing on or included with any such order shall have any effect unless expressly agreed to in writing by JAANUU. By placing an order for JAANUU products, you agree that JAANUU may use your company name and logo in JAANUU’s promotional and marketing materials and otherwise identify you as a JAANUU customer.
PAYMENT TERMS; SHIPPING
All orders are subject to acceptance by JAANUU. Unless otherwise expressly agreed to by you and JAANUU in writing, Products (and any applicable sales tax and shipping charges) must be paid for in advance by credit card or wire transfer. JAANUU will not be responsible for any shipping delays caused by a carrier.
RETURNS AND EXCHANGES
If you are not satisfied with your purchase, please review our Returns & Exchanges section for further assistance. Masks / face coverings are final sale only and are not eligible for return or refund. Any defective masks should be reported within 3 days of receipt.
USE OF PRODUCTS; RESALE RESTRICTION
You represent and warrant that any JAANUU products purchased by you will be solely for use by your employees and other personnel and may not be resold or marketed for resale without JAANUU’s advance written consent. If JAANUU authorizes you to resell Products, additional resale terms and conditions will apply.
GOVERNING LAW
